1.2 Training Volatility & Risk of Capital Loss

The Company assumes no legal or financial liability for trading errors, platform latency traps, or capital deficits occurring inside your private accounts due to:

• Outages, maintenance blocks, or connectivity latency spikes on linked third-party exchanges (e.g., Binance, Bybit, OKX, Bitget, MetaTrader 5).

• Sudden logic alterations, deprecations, token errors, or downtime on external Large Language Model (LLM) API endpoints (e.g., OpenAI, Anthropic, DeepSeek, Google Gemini).

• Artificial Intelligence "hallucinations," logical miscalculations, or invalid processing strings generated natively by the targeted LLM engine that cause the Zess software engine to execute an unintended broker action.

• Your implementation structures, including missing API key permission boxes, local internet dropouts, or invalid parameter entries inside the Zess visual builder sandbox interface. All tool assets are provided strictly on an "As-Is" and "As-Available" basis.

5.3 Absolute Non-Transferability of System Utility & Access

You agree to fully indemnify, defend, and hold harmless the Company, its directors, employees, code developers, and educational partners from any and all financial claims, capital losses, trade deficits, legal liabilities, costs, or damages arising out of your deployment of automated strategies, execution choices, or your engagement with third-party software nodes.

6.2 Governing Law and Binding Arbitration

This Agreement, along with all operational interactions, shall be governed by and constructed strictly in accordance with the laws of Zess origins, without regard to its conflict of law principles. Any legal dispute, controversy, or claim arising out of or relating to this contract, including its formation or validity, shall be referred to and finally resolved by binding arbitration administered by the law.

6.3 Class Action Waiver

YOU EXPLICITLY AGREE THAT ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU COMPLETELY WAIVE ANY RIGHT TO FILE, JOIN, OR PARTICIPATE IN A CLASS-ACTION LAWSUIT, REPRESENTATIVE ACTION, OR MULTI-PLAINTIFF LITIGATION AGAINST THE COMPANY.
